Source text - Hungarian 6.4.4. Az XY Kft.-vel kötött szerződés
A Társaság 2006. október 9. napján kötött megbízási szerződést az XX Kft.-vel (a továbbiakban: megbízott) a Társaság által forgalmazott termékek, valamint a továbbiakban forgalmazásra kerülő termékeknek a megbízott tagjai és partnerei részére történő közvetítésére.
Az egyes szerződések megkötésére azonban nem jogosult. A megbízott a szerződés hatálya alatt a szerződés tárgyát képező termékek vonatkozásában más társasággal ügynöki szerződést nem köthet.
A szerződésben vállalt kötelezettségeinek ellenértékeként a megbízott az egy hónapban az általa - üzleti partnerei, tagjai részére - közvetített szolgáltatás alapján realizált forgalom után havi 2% + áfa jutalékra jogosult.
A felek közötti elszámolás negyedévente történik. A felek a szerződést határozott időre, 2008. december 31-ig kötötték, amely időtartam alatt rendes felmondással nem szüntethető meg.
A szerződésben foglalt rendelkezések megszegése esetén a sérelmet szenvedett fél azonnali hatállyal jogosult felmondani a szerződést.
A határozott idejű szerződés – a lejárta előtt a másik félhez intézett ellenkező tartalmú nyilatkozat hiányában – automatikusan meghosszabbodik egy évvel.
A szerződés értelmében a megbízottat szigorú titoktartási kötelezettség terheli mind a szerződés hatálya alatt, mind annak megszűnését követően határozatlan ideig.
Jogvita esetére a felek a Pesti Központi Kerületi Bíróság, illetve a Fővárosi Bíróság illetékességét kötötték ki.
7. MUNKASZERZŐDÉSEK
A Társaság ügyvezetője az átvilágítás során rendelkezésünkre bocsátotta a Társaság állományi listáját - mely lista szerint a Társaság 65 munkavállalót foglalkoztat -, továbbá az ügyvezető M M munkaszerződése
Az ügyvezető tájékoztatása szerint ezen munkaszerződésben foglalt feltétekkel megegyező munkaszerződést alkalmaztak a Társaság munkavállalói esetében is.
Translation - English 6.4.4. Contract established with XY Ltd.
On October 9, 2006 the Company entered into a commission agreement with the XX Ltd. (henceforth: Commissioned) for the transmitting products have been traded and in the future would be traded by the Company to the members and partners of the Commissioned.
However the Commissioned is not entitled to establish any contract. The Commissioned is not allowed to establish agency agreements with other companies in terms of the contract in effect as well as in terms of the products which are the subject of the contract.
As an equivalent for the obligations the Commissioned undertook, the Commissioned is entitled a monthly commission worth the 2 % (+ VAT) of the turnover realized by the Commissioned through the transmitting the products to its members and partners. Settlements have been scheduled quarterly.
The contract the parties entered into has been established for a set period of time and would be in effect until 31th of December, 2008. During that time the contract can not be terminated by regular calls.
In case of the breach of the provisions of the contract the party aggrieved is entitled to abrogate (cancel) the contract with immediate effect.
The contract established for a set period of time would be automatically extended for one year if the parties do not address an opposing statement to each other before the experiment of the contract.
In accordance of the contract the Commissioned is responsible for the obligation of secrecy either during the time the contract in effect and following that without the day fixed.
The parties agree that in case of any legal dispute the courts of competent jurisdiction are the local district court (Pesti Központi Kerületi Bíróság) and the Metropolitan Court of Budapest.
7. Employment contracts
At the time of the legal audit the managing director of the Company placed the list of employments at our disposal and according to this the Company has employed 65 people. In addition the employment contract of the managing director, M M was handed over to us.
The managing director informed us that contracts were issued to the employees of the Company have contained the same provisions like ones stipulated in his contract.
