Source text - Slovak Čl. I
Účel a povaha zmluvy
1. Táto zmluva sa uzatvára v zmysle § 269 ods. 2 Obchodného zákonníka. Účelom tejto zmluvy je upraviť vzájomné vzťahy pri poskytovaní služieb pre objednávateľa na zabezpečenie služieb v priestoroch objednávateľa. Poskytovateľ vykonáva tieto služby na základe predmetu činností firmy zapísaných v živnostenskom registri Okresného úradu v Nitre.
Čl. II
Predmet zmluvy
1. Poskytovateľ zabezpečí predmet zmluvy prostredníctvom svojho zamestnanca, ďalej len „programátor“.
Článok III
Cena za služby, fakturácia, spôsob úhrady
1. Cena za dohodnuté služby je stanovená hodinovou sadzbou vo výške EUR X. Uvedená cena je garantovaná poskytovateľom 1 rok od podpisu zmluvy. Poskytovateľ nie je platcom dane z pridanej hodnoty.
2. Poskytovateľ bude účtovať za vykonané služby faktúrou raz mesačne. Faktúra vystavená poskytovateľom musí obsahovať náležitosti daňového dokladu a musí byť vystavená do troch pracovných dní po skončení mesačného obdobia. Poskytovateľ a objednávateľ sa dohodli, že platba za zrealizované služby bude hradená na základe skutočne odpracovaných hodín zamestnanca poskytovateľa.
3. Ak bude objednávateľ v omeškaní s plnením peňažného záväzku alebo jeho časti, je povinný na základe poskytovateľom vystavenej penalizačnej faktúry zaplatiť z nezaplatenej sumy úroky z omeškania vo výške 0,05% za každý deň omeškania.
Článok IV
Práva a povinnosti objednávateľa
1. Objednávateľ je povinný informovať poskytovateľa o všetkých skutočnostiach vyplývajúcich z jeho požiadavky pre poskytovateľa pred uzatvorením zmluvy. Objednávateľ má právo, aby jeho požiadavka bola splnená v dohodnutom čase ak jeho spokojnosti.
2. Objednávateľ garantuje poskytovateľovi dodržiavanie času a rozsahu vykonávaných prác. V prípade, že zo strany objednávateľa nebude umožnené programátorovi vykonávať dojednané práce v dojednanom čase, objednávateľ sa po dohode s poskytovateľom zaväzuje umožniť vykonanie prác v náhradnom termíne.
Článok V
Zodpovednosť za škodu
1. Ak sa škoda spôsobená pri výkone prác programátorom poskytovateľa dostatočne nepreukáže, nesie plnú zodpovednosť objednávateľ. Objednávateľ zodpovedá poskytovateľovi za funkčnosť a dobrý technický stav zariadení, ktoré sú jeho majetkom a ktoré bude poskytovateľ pri dodaní služieb používať.
Článok VII
Záverečné ustanovenia
1. Každá zo zmluvných strán môže ukončiť dohodu ešte pred uplynutím prvého zmluvného obdobia, a to z akéhokoľvek dôvodu alebo bez udania dôvodu za predpokladu, že ukončujúca strana dá druhej strane písomné oznámenie o ukončení aspoň 10 dní v predstihu.
2. Táto zmluva predstavuje úplný dohovor medzi zmluvnými stranami a nahrádza všetky návrhy, záväzky, písomnosti, predbežné dojednania a uzrozumenia, ústne a písomné, ako aj všetku výmenu informácií medzi stranami vo vzťahu k danému predmetu dohody.
3. Okrem výnimočných prípadov výslovne uvedených v tejto zmluve sa bude akékoľvek oznámenie požadované alebo dovolené podľa tejto zmluvy pokladať za dostatočné, ak bude písomné a doručené osobne, zaslané emailom alebo doporučeným listom zmluvnej strane na adresu uvedenú pod podpisom alebo na inú adresu, ktorú dodatočne určí daná zmluvná strana.
Translation - English Art. I
Purpose and Nature of Contract
1. The Parties hereto conclude this Contract pursuant to Section 269, subs. 2 of the Commercial Code. The purpose hereof is to regulate the mutual relations in providing services for Customer in order to ensure the provision of the services in Customer’s premises. Provider shall carry out said services in virtue of the company’s business activities registered in the Trade Register of the District Office Nitra.
Art. II
Subject of Contract
1. Provider shall take care of the services through its employee (the Programmer).
Art. III
Price for the Services, Invoicing, Method of Payment
1. The price for the services ordered is determined by an hourly rate amounting to EUR X. The above price shall be guaranteed by Provider for the time of 1 year after executing the Contract. Provider is not a VAT payer.
2. Provider shall bill the services performed by an invoice for each month. Such invoice shall contain the items prescribed for a tax document and shall be issued within three days after the end of the month. Provider and Customer agree that the payment for the services provided shall be calculated according to the hours actually worked by Provider’s employee.
3. Should Customer be late in performing its monetary obligation or its part, it shall be obliged, subject to the invoice issued by Provider, to pay interest in the arrears corresponding to the outstanding amount, which shall be 0.05% per each day of arrears.
Art. IV
Customer’s Right and Obligations
1. Customer shall inform Provider of all the facts following from its demand addressed to Provider before executing the Contract. Customer has the right to have its request accomplished within the agreed period and to its satisfaction.
2. Customer warrants to Provider the observance of the time and scope of the work performed. Should it prove impossible, through Customer’s fault, for Programmer to carry out the work agreed upon in such agreed time, Customer undertakes to enable performance in an alternative time after agreeing so with Provider.
Art. V
Liability for Damage
1. Should the damage caused by Programmer in carrying out their work not be sufficiently demonstrated, Customer shall bear all responsibility. Customer shall be responsible to Provider for workable and good technical conditions of the inventory owned by Customer and which Provider shall use in supplying its services.
Art. VII
Final Provisions
1. Either Party may terminate this Contract at any time before its initial term is completed, for any reason or for no reason at all, provided that at least 10 days’ advance written notice of termination is given to the non-terminating party by the terminating party.
2. This Contract constitutes the entire understanding between the Parties and supersedes all proposals, commitments, writings, negotiations, and understandings, oral and written, and all other communications between the Parties relating to the subject matter hereof.
3. Except as expressly provided to the contrary herein, any notice required or permitted under this Contract shall be deemed sufficiently given if in writing and personally delivered, sent by e-mail, or sent by certified mail to the Party at the address set forth beneath its signature below or at such other address as the Party may subsequently designate.
