The basis of transaction of this sales contract is an exclusivity agreement extraneous to this contract between the Purchaser and XXX…., which forms the condition for validity of the following contract. In accordance with this agreement the "goods" required by XXX are drawn solely via the Purchaser;
By virtue of increased requirement for productivity, the Purchaser needs machines to speed up production. The sale under retention of title and the transfer for use of these production machines (hereinafter referred to collectively as goods) of the purchase price is the subject-matter of this contract.
§ 1 Object of purchase, export licence
(1) The Vendor sells to the Purchaser production machines of Type XY (hereinafter also "goods") once he has received more precise stipulations of the specification, which is attached to this contract as Annex 1.
(2) The Vendor will make all reasonable efforts to secure any export licence which may be required. The Vendor does not guarantee that an export licence will be granted. However, the Vendor is not aware of any circumstances which would be an obstacle to the granting of an export licence.
The Purchaser is required to secure the import licence, together with any permits, authorisations or other documents required in connection with the import of the goods into the state of use and any transport of the goods across third party states. Any risk of a ban on imports at the time when the contract is concluded shall be borne by the Purchaser.
(3) Any costs, Customs duties or tolls etc. which arise in connection with the export and import of the goods shall be borne by the Purchaser.

De basis van de transactie van deze koopovereenkomst is een exclusiviteitsovereenkomst die geen deel uitmaakt van dit contract tussen de Koper en XXX ...., die de voorwaarde vormt voor de geldigheid van de volgende overeenkomst. In overeenstemming met deze overeenkomst worden de door XXX gewenste "goederen" uitsluitend afgenomen via de koper;
Door de toegenomen behoefte aan productiviteit, heeft de koper machines nodig om de productie te versnellen. De verkoop onder eigendomsvoorbehoud en de overdracht voor het gebruik van deze productiemachines (hierna gezamenlijk goederen genoemd) van de koopprijs is het voorwerp van deze overeenkomst.
§ 1 Object van aankoop, uitvoervergunning
(1) De verkoper verkoopt aan de koper productiemachines van het type XY (hierna ook "goederen"), zodra hij nauwkeurigere bepalingen van de specificatie heeft ontvangen, die aan de overeenkomst zijn toegevoegd als Bijlage 1.
(2) De verkoper stelt alles in het werk wat redelijkerwijs in zijn vermogen ligt, een uitvoervergunning die vereist kan zijn veilig te stellen. De verkoper garandeert niet dat een uitvoervergunning wordt verleend. Echter, de verkoper is niet op de hoogte van omstandigheden die een belemmering vormen voor de toekenning van een uitvoervergunning.
De koper is verplicht, de invoervergunning, andere vergunningen, machtigingen of andere documenten die nodig zijn in verband met de invoer van de goederen naar het (eind)bestemmingsland en vervoer van de goederen naar derde landen, veilig te stellen. Elk risico van een verbod op de invoer op het moment dat het contract wordt gesloten, komt ten laste van de koper.
(3) Alle kosten, douanerechten of tolgelden etc. die ontstaan in verband met de export en import van de goederen, komen ten laste van de koper.
