Hi,
In bylaws of a corporation :
"Successful Defense. To the extent that a present or former director or officer of the Company has been successful on the merits or otherwise in defense of any action, suit or proceeding [...]"
I guess merits is 'gain de cause' but what about the translation of 'successful defense'? Défense réussie ?

adj. referring to a judgment, decision or ruling of a court based upon the facts presented in evidence and the law applied to that evidence. A judge decides a case "on the merits" when he/she bases the decision on the fundamental issues and considers technical and procedural defenses as either inconsequential or overcome. Example: An attorney is two days late in filing a set of legal points and authorities in opposition to a motion to dismiss. Rather than dismiss the case based on this technical procedural deficiency, the judge considers the case "on the merits" as if this mistake had not occurred.

Yes, sorry, it was not much about merits (as there are some many entries about it) in the end, but about 'Sucessful defense'. I did a mistake when posting the question. |

Discussion
Now, as for the entry, I don't know how to make a new entry, dommage...
Effectivement, dans ce cas-ci, "dirigeants" est préférable puisqu'il s'agit des règlements de la Société. Notez toutefois que l'emploi de "membre(s) de la haute direction" dépend essentiellement du siège de la Société, l'expression ayant un usage précis dans certaines réglementations non seulement au Canada, mais aussi dans l'Union européenne.
Ici, "actuel ou passé" vaut pour administrateur ET dirigeant; d'où l'accord.
